Version: 2.0
Effective date: 11 October 2026 for new customers. If you used DropSync before that date, see Section 2.1A.
Replaces: the DropSync Terms of Service last updated April 2026.
Key points (please read before you agree)
This box is a short summary. The full Terms below are what bind you and us. Words with capital letters have the meanings in Section 3.
- How you agree. By creating an Account, starting a Trial, paying, installing the Extension or using DropSync, you agree to these Terms. We may also ask you to confirm this by ticking a box. If you used DropSync before 11 October 2026, these Terms replace the earlier terms 30 days after we tell you about them by email or in the Web App (Section 2.1A).
- DropSync is a tool, and you run your business. You are the seller of everything you list and the buyer of everything you order. You decide what to list, what to buy, what prices to use and which settings to turn on.
- Marketplaces make their own rules and can act against your account. eBay, Amazon and AliExpress are not part of DropSync and have not endorsed it. A Marketplace can warn, limit, suspend or close your account, remove your listings, hold your money or charge you fees. We are not responsible for this, except in the cases in Section 12.2 (for example, faults in the Service or failures of our security, up to the cap in Section 29.3) and Section 29.1. We are also not responsible for claims against you by buyers, rights owners, tax authorities or regulators (Sections 11, 12 and 29). Point 4 says what you confirm about Marketplace rules. (If you are a consumer, Section 4 gives you more protection.)
- Your confirmation about Marketplace rules. By using DropSync, you confirm all of these. You will follow the rules of every Marketplace you use, including their rules on sourcing, drop shipping, listings, intellectual property (VeRO) and automated tools. You understand that these rules change, and that some ways of using DropSync may not be allowed by a Marketplace. Checking the rules is your responsibility. You choose how you use DropSync, and you accept the risk to your accounts. You understand that DropSync is not responsible if a Marketplace acts against your account, as Section 12 explains. (If you are a consumer, Section 4 gives you more protection.)
- Automation acts for you. Inventory Sync, repricing, Auto Order and Autopilot can change prices, set stock to zero, end listings, upload files and place real orders with your money. You are responsible for every action they take on your settings, including defaults that were shown or told to you and that you could change. They can also miss or delay a change, for example while your computer is asleep or Chrome is closed, so keep your own way to track stock and orders (Sections 5.4A and 13 to 15). (If you are a consumer, Section 4 gives you more protection.)
- AI and data can be wrong. AI text, prices, stock, sold counts, fees, VeRO checks and product matches can be wrong or out of date. Check everything before it goes live (Sections 16 and 17).
- Our liability is limited. We are not liable for lost profits, lost sales or damage to your Marketplace standing. If a fault in our software or our security causes you a direct loss that you could not reasonably have prevented, you can claim it, but only up to a cap (Section 29.2A). The cap is the greater of the Fees you paid us in the 12 months before your first claim and £100 (US$130). Some Beta Features have a lower limit (Sections 12, 23.3 and 29). (If you are a consumer, Section 4 gives you more protection.)
- You cover us for claims that your business causes (Section 30).
- Plans renew automatically until you cancel. A Trial turns into a paid Plan unless you cancel before it ends. You can cancel online at any time. Business Customers do not get refunds once a billing period starts. The only exceptions are billing errors, cases where we end the Service for you without cause, cancelling because a change to these Terms harms you or we removed a main feature, and refunds the law requires (Section 9). Credits have no cash value. Anything we call "unlimited" is subject to fair use (Sections 5.8 and 7 to 10).
- The software is licensed to you, not sold. You must not copy, share, resell or reverse engineer it, or use it to build a competing product. Each login is for one person. Give each extra person who uses your Account their own Seat. Install updates within 30 days of release, or sooner if we say an update is needed for security, because old versions may stop working (Sections 6.4, 6.4A, 21 and 22).
- If you are a consumer, you keep your legal rights (Section 4).
- You are responsible for everything you publish. This includes titles, photos and item specifics that Clone Features or AI Features copied, filled in or wrote for you. Other users may also clone, undercut or copy your listings, and we are not responsible for what they do. Rights owners can complain to us (Sections 16, 17, 18.7 and 25.4). (If you are a consumer, Section 4 gives you more protection.)
- A Credit is used when an action starts. It stays used if a Marketplace rejects the action because of your content, settings or account. If the action failed because of a fault in the Service, tell us within 30 days and we will return the Credit (Section 8.2). You can use Credits only while your Plan or Trial is active (Section 8.3). (If you are a consumer, Section 4 gives you more protection.)
- Time limits for claims. Business Customers must tell us in writing about a claim within one year after they knew, or should have known, about it, and then start proceedings within six months (Section 31). Business Customers bring claims only in their own name, not as part of a group or class action, where the law allows. Consumers keep the right to use their local courts and laws (Section 36).
- Only these Terms count. Support replies (including replies written by AI), Discord posts, videos and calls cannot change these Terms or promise you a refund, Credit or permission that these Terms do not give (Section 37.11). (If you are a consumer, Section 4 gives you more protection.)
- Your buyers' data. For Buyer Data, you are the controller and we are your processor. You must tell your buyers how you use their data, including that their delivery details go to your suppliers (Section 19 and Schedule 1).
1. About these Terms and who we are
1.1 These Terms of Service (the Terms) are a legal agreement between you and DropSync (DropSync, we, us or our). You can contact us at hello@dropsync.io.
1.2 We may transfer these Terms and your Account to a company that we set up to run DropSync. We will tell you before we do this. If the transfer includes data that the Extension collected, we will ask for your consent before we move that data (Privacy Policy, Section 17.2(b)).
1.3 These Terms cover every part of the Service (defined in Section 3). This includes the DropSync Chrome extension, the web app at app.dropsync.io and the website at dropsync.io.
1.4 These documents also form part of our agreement with you. If they conflict, they apply in this order:
(a) any written agreement signed by you and us;
(b) any feature terms we show you in the Service, or give you when we invite you to a feature, such as Beta terms, but only for that feature; and
(c) these Terms.
1.5 Our Privacy Policy at https://dropsync.io/pages/privacy-policy (the Privacy Policy) explains how we handle personal data. It is a notice to you. It is not a contract term.
1.6 Data processing terms. Schedule 1 (Data Processing Terms) forms part of these Terms. It applies whenever we process Buyer Data for you.
1.7 Disputes under any of these documents. Sections 29, 31 and 36 of these Terms govern every claim and dispute under any document listed in Section 1.4, unless a written agreement signed by both of us says otherwise.
2. Accepting these Terms
2.1 How you accept. You agree to these Terms when you create an Account, start a Trial, pay for a Plan or anything else in the Service, install the Extension, or otherwise use DropSync, whichever happens first. We may also ask you to confirm that you agree, for example by ticking a box. A Seat User agrees to these Terms by using the Service. If you do not agree, do not use the Service.
2.1A Customers who joined before 11 October 2026. If you used DropSync before 11 October 2026, the earlier terms continue to apply to you until 30 days after we tell you about these Terms by email or in the Web App. From that date, these Terms replace the earlier terms for you. If you do not want to accept these Terms, you can cancel your Plan before that date, and you keep access until the end of the period you have paid for. Section 9.5(d) applies. If you keep using the Service after that date, you accept these Terms. A dispute that arose, or that either of us raised, before that date is dealt with under the earlier terms.
2.1B New customers. If you first use DropSync on or after 11 October 2026, these Terms apply to you from the date you first do any of the things in Section 2.1.
2.2 Business use. DropSync is built and sold for people who run a selling business. If you tell us that you use the Service for your business, you confirm that this is true, and you will tell us if it changes. Your answer does not change your legal status. If you are a consumer, Section 4 applies to you.
2.3 Acting for a company. If you accept these Terms for a company or other organisation, you confirm that you have authority to bind it. "You" then means that organisation.
2.4 Age and eligibility. You must be at least 18, or the age of majority where you live if that is higher, and able to make a binding contract. You must not use the Service if:
(a) you are located in, or ordinarily resident in, a country or region under comprehensive US, UK or EU sanctions;
(b) you are named on a US, UK, EU or UN sanctions list, or are owned or controlled by someone who is;
(c) we closed an earlier account of yours for breaking our terms, unless we agree in writing; or
(d) you own, work for or act for a business that offers or is building software that competes with DropSync, unless we agree in writing. This includes using the Service to watch its features, prices or performance for that business.
2.4A We may decline to start. Before a contract is made, we may refuse to open an Account, start a Trial or sell a Plan to anyone, for any lawful reason. For example, we may refuse someone we reasonably believe is linked to an Account we closed, or who is not eligible for a Trial.
2.4B Local law. We do not promise that the Service is lawful or suitable to use in every country. You are responsible for checking and following the law where you are.
2.5 Our records. We keep records of when your Account was created, when you paid and when you used the Service. Our records are evidence of when you accepted these Terms, unless you show they are wrong. (If you are a UK or EU consumer, see Section 4.6.)
3. Definitions
Some words have a special meaning in these Terms. They are shown in bold where they are defined. In these Terms:
- Account means a DropSync account, including its Seats.
- Account email address means the email address on your Account.
- Account Owner means the person or business that holds a Plan and pays for it.
- AI Features means features that use artificial intelligence or machine-learning models, including models run by our providers, to produce titles, descriptions, item specifics, translations, images, suggestions or replies.
- Auto Order means the feature that places supplier orders for your Marketplace sales. Autopilot means Auto Order running without a click from you (Section 14.4).
- Automation Features means features that take actions for you in a Marketplace Account or Supplier Account, or on a schedule. They include Inventory Sync, repricing (including Clone Repricing), bulk listing, file uploads, Auto Order and Autopilot.
- Beta Feature means any feature we label Beta, preview, early access, test or Practice-only, and any feature we make available only to selected users.
- billing period means the month, quarter or year that your Plan is billed for.
- Business Customer means anyone who is not a consumer.
- Buyer Data means personal data about your buyers or other people that the Service processes for you. Examples are names, delivery addresses, phone numbers, email addresses, order details and gift messages.
- Clone Features means Clone Hunter, Clone Lister, Clone Repricing and any similar feature that finds, matches, lists against or prices against other sellers' listings.
- consumer means an individual acting wholly or mainly outside their trade, business, craft or profession.
- Credits means the units the Service uses to measure and charge for certain actions, as described in Section 8. Plan Credits are Credits included in a Plan.
- Documentation means our tutorials, guides, help pages and videos.
- Extension means the DropSync Chrome extension, in every version.
- Fees means the amounts you pay us for a Plan, a Trial, Credits or anything else in the Service.
- Image Studio means our tools that edit product photos or add frames, templates and badges to them.
- Inventory Sync means the feature that compares your listings with supplier prices and stock, and changes prices, sets quantities to zero or ends listings, or prepares or uploads files to do so.
- Marketplace means eBay, Amazon, AliExpress and any other marketplace, online store or supplier website you use with the Service. Amazon and AliExpress count as Marketplaces even when you only buy from them.
- Marketplace Account means any account you hold with a Marketplace, and any payment account linked to it.
- Marketplace Account Action means anything a Marketplace or payment provider does to you or to your accounts, listings, orders or money. It includes a warning, defect, lower seller level, search demotion, listing removal, VeRO or other rights takedown, selling limit, restriction, payment hold or reserve, fee, fine, order cancellation, refusal to sell to you, suspension and closure.
- Official Client means the Extension as we publish it in the Chrome Web Store or as a download we provide, the Web App and the Website, each in a version we still support.
- Output means anything the Service produces for you. It includes AI output, listing drafts, prices, reports, files and scan results.
- Plan means a paid subscription to the Service.
- Practice Mode means a mode, sometimes called dry run, that shows what a feature would do without doing it.
- Research Features means competitor scanners, sold-item scanners, Product Finder, Sourcing Packs, My Products insights, sold counts, profit and fee estimates, and similar data features.
- Seat means an extra login under an Account. Seat User means the person who uses a Seat.
- Service means the Extension, the Web App, the Website and its tools, our servers and interfaces, the AI Features, Automation Features, Clone Features and Research Features, Image Studio, the Documentation, support, and anything else we provide under these Terms, including updates.
- settings means the options, rules, limits and lists that control how the Service works for your Account. A default that we set counts as your setting only if (a) the screen where you turned on the feature, or confirmed the run, showed the default and what it does, you could change it there, and you left it unchanged; or (b) we told you about the default, in the Service or by email, before it first applied to you, and you could change it. A default that a fault in the Service set or changed is not your setting.
- Sourcing Pack means a list of product ideas or search terms that you can unlock in the Service, for example with Credits.
- Supplier Account means any account you use to buy goods, including your Amazon and AliExpress accounts.
- Third-Party Services means products and services that we do not provide. They include Marketplaces, Google Chrome and the Chrome Web Store, Stripe, OpenAI, Google Cloud and Firebase, Shopify and Discord.
- Trial means a free or low-cost introductory period of a Plan.
- VeRO means eBay's Verified Rights Owner programme, which lets rights owners ask eBay to remove listings.
- Web App means the web application at app.dropsync.io. Website means dropsync.io and the tools on it.
- you and your mean the person or organisation that accepts these Terms (see Sections 2.3 and 6.3).
- Your Content means the information and material that you or your Seat Users put into the Service or create with it. It includes product data, listings, settings, files and Buyer Data.
"Including" means "including without limitation".
4. If you are a consumer
4.1 We built the Service for businesses. If you use it as a consumer, this Section applies to you. It overrides anything else in these Terms that conflicts with it.
4.2 Your legal rights. You have legal rights that these Terms do not reduce. In the UK, the Consumer Rights Act 2015 says that digital content must be of satisfactory quality, fit for purpose and as described, and that services must be provided with reasonable care and skill. If digital content we supply damages your device or other digital content because we did not use reasonable care and skill, we will repair the damage or pay you compensation. What we tell you about the Service before you buy, including through support, can form part of our contract with you. Consumers in the EU have similar rights under their local law. For more information, contact Citizens Advice in the UK or a consumer body where you live.
4.3 Cancelling within 14 days. If you are a consumer in the UK or the EU, you can cancel a new Plan within 14 days after the day you buy it. You do not need to give a reason. If you asked us to start the Service during those 14 days, we will refund what you paid, minus a proportionate amount for the Service already provided, where the law allows. If the law gives you a further cooling-off period, for example after a Trial ends or after a long Plan renews, you can cancel in the same way. To cancel, use the cancel option in your account in the Web App, email hello@dropsync.io, or tell us in any other clear way.
4.4 Cancelling and reminders. If you are a consumer:
(a) you can cancel online at any time from your account in the Web App. If we offer you something to stay, the same screen also lets you carry on and cancel;
(b) Section 7.5 applies to price changes; and
(c) we send any reminder or notice that the law where you live requires for subscriptions, such as reminders before a Trial ends or before a renewal.
4.5 Our responsibility to you. If we break these Terms or fail to use reasonable care and skill, we are responsible for loss or damage you suffer that was a foreseeable result. Loss is foreseeable if it was obvious that it would happen, or if both of us knew it might happen when you made the contract. We are not responsible for loss that was not foreseeable. The Service is a business tool. If you use it for a commercial, business or resale purpose, we are not responsible to you for loss of profit, loss of business, business interruption or loss of business opportunity.
4.6 Parts of these Terms that do not apply to consumers in the UK or the EU. If you are a consumer in the UK or the EU, these parts do not apply to you:
- Section 2.5 (the sentence that begins "Our records are evidence");
- Section 6.9 (the sentence that begins "We are not responsible");
- Section 9.4;
- Section 12;
- Section 13.1 (the bold sentence that begins "Every action it takes");
- Section 13.1A (the sentence that begins "Listings, prices, uploads and orders");
- Section 14.3;
- Section 14.4 (bold sentence);
- Section 15.2 (the words "you use it at your own risk");
- Section 15.3 (the sentence that begins "We are not responsible");
- Section 22.2A (the words "and it is not a reason for a refund");
- Section 22.7(a) and (d);
- Section 23.2 (the words "as is" and the sentence "You use Beta Features at your own risk");
- Section 23.3 (the liability limit);
- Section 25.4 (the sentence that begins "They act for themselves");
- Section 27.2(d) and (f);
- Section 27.2A (the sentence that begins "We will not refund");
- Sections 28.1, 28.2, 28.3, 29.2, 29.2A, 29.2B, 29.3, 29.5 and 29.7;
- Section 31; and
- Section 37.11 (from "A change or waiver binds us only" to the end of the sentence that begins "A refund or Credit").
Section 27.2B applies to you only if we suspend your Account because you did not pay.
Sections 10.1A and 10.1B (see Section 10.1C), 10.3A, 10.4 (last sentence), 19.6 (the costs paragraphs for Business Customers), 37.5, 37.11 (the sentence about Business Customers) and 37.13 are limited by their own words, and they do not apply to you either.
Section 4.5 sets out our responsibility to you instead. Under Section 30, you only pay for losses that your own breach of these Terms or of the law caused. You may bring a claim in the courts where you live, and you keep the protection of the mandatory laws of the country where you live.
4.7 Consumers in the United States. In the United States, your rights depend on the law of your state. Sections 28 and 29 apply to US consumers, except where your state's law does not allow a warranty to be disclaimed or a kind of damage to be excluded or limited. In that case they apply as far as that law allows. If you are a consumer in New Jersey, Sections 10.3 (the sentence about dispute fees and costs), 12, 22.7(d), 28.2, 29 and 30 apply to you only as far as New Jersey law allows. Nothing in them limits your rights under the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act.
4.8 Consumers in other countries. If you are a consumer in any other country, the parts listed in Section 4.6 apply to you only as far as the law of the country where you live allows.
5. The Service
5.1 What DropSync does. DropSync is a set of software tools for online sellers. Depending on your Plan, it helps you to:
(a) list products from Amazon, AliExpress and other suppliers on eBay, including multi-variation listings;
(b) write titles, descriptions and item specifics with AI Features;
(c) check listings against brand, word and VeRO lists;
(d) track your listings and compare supplier prices and stock (My Products and Inventory Sync);
(e) research competitors and sold items;
(f) find, list against and reprice other sellers' listings (Clone Features);
(g) place supplier orders for your eBay sales (Auto Order and, for accounts we invite, Autopilot);
(h) edit product images (Image Studio); and
(i) find products to sell (Product Finder and Sourcing Packs).
5.2 You run your business. DropSync is a tool that you operate. You are the seller of every item you list and the buyer of every item you order. We are not a seller, buyer, supplier, broker, marketplace or payment processor. We are not a party to any sale, purchase or dispute between you and anyone else.
5.3 No promise of results. We do not promise that you will make sales, make a profit or get any other result. Examples, case studies, testimonials, screenshots, earnings figures and calculators on our Website, in videos, on Discord or anywhere else show what some people did or could do. They are not typical, and they are not a promise.
5.4 How the Extension works. The Extension runs in your browser. To work, it needs wide browser permissions. For example, it reads and changes pages on Marketplace sites, opens and controls tabs, and uses the sessions you are signed in to. It acts in your browser as you. You can remove it at any time. By installing the Extension and turning on a feature, you authorise the Service to read and act on the Marketplace and supplier pages that you are signed in to, and to send to our servers the data that the feature needs. For example, this includes product and listing data, and for Auto Order, your buyer's delivery details. You can withdraw this at any time by turning the feature off, signing out or removing the Extension. This authorisation does not make us your agent (Section 37.2).
5.4A Your computer, browser and connection. Many features, including Inventory Sync, repricing, Auto Order and Autopilot, run only while your computer is on, Chrome is open, the Extension is on and you are signed in to the right accounts. Checks, price changes, stock changes and orders may not happen, or may happen late, if your computer sleeps or shuts down, Chrome closes or updates, another extension or program interferes, or your internet connection fails. You are responsible for your computer, browser, other software and internet connection, and for their costs.
5.5 Features change. The Service is what we make available at the time you use it. Features, limits and names may differ from earlier versions, marketing or videos. Some features depend on your Plan, location, browser, language, Marketplace site or the settings of your Marketplace Account.
5.6 Practice Mode. Some features offer Practice Mode. Use it to test your settings before you go live. Practice Mode may not show every action or result of the live feature, because live pages, prices and stock change.
5.7 Free tools. Free tools on the Website are provided "as is", without any promise, and you use them at your own risk. Their results can be wrong or out of date, and they are not legal advice or legal clearance. If you use the Website or its free tools without an Account, these Terms apply to that use as far as they are relevant, including Sections 20 to 22, 28 and 29.
5.8 Fair use. Where a Plan or feature is called "unlimited", or shows no limit, it is for the normal use of one selling business with the logins it has. Fair use applies to it. We may set a limit, slow a feature, or limit how long we keep old run history for an Account, only if:
(a) the Account's use is far above the normal use of one selling business on the same Plan; or
(b) its use breaks Section 20.
Before we do, we will tell you and, where one exists, offer you a suitable Plan. The one exception is where the use creates a security risk, is abuse, or puts a shared connection at risk (such as the daily quota of our AliExpress apps). Then we may act at once, and we will tell you promptly.
6. Accounts, Seats and security
6.1 Accurate information. Give us accurate information and keep it up to date. Use your real name or your business's legal name, and an email address that you control. Do not use a disposable or false email address, or a false identity. Create Accounts by hand, not with bots or scripts. Someone else, such as a virtual assistant, may create an Account for you only if you authorise it. You are then bound as if you created it yourself.
6.2 You are responsible for your Account. The Account Owner is responsible for everything done through the Account and its Seats, by anyone, as if the Account Owner did it. This does not apply where it happened because we broke these Terms, or because someone exploited a security weakness in the Service (Section 13.1(b)).
6.3 Seats. You may create Seats only for your own staff and contractors who work on your business, and for your own other stores.
(a) Each Seat User must meet the age rule in Section 2.4 and agrees to these Terms by using the Service.
(b) Do not sell, rent or give Seats to anyone else.
(c) Seats, and Credits moved to them, stay part of your Account.
(d) Seats stop when your Plan ends.
(e) We are not part of any dispute inside your team. If there is a dispute, we may act on the Account Owner's instructions.
(f) If you remove a Seat, its data and Credits stay with the Account, and the Account Owner controls them.
(g) A Seat User is personally bound only by Sections 6 and 20 to 23. The Account Owner pays all Fees, is responsible for every Seat User under Section 6.2, and covers claims about them under Section 30.1(e).
6.4 No sharing or transfers outside Seats. Each login is for one person. Do not share a login. Do not let anyone other than you and your Seat Users use your Account. We may limit how many browsers or devices can use one login at the same time, and we may sign out older sessions. Do not buy, sell, rent, give away or transfer an Account or a Seat, or offer to do so. This includes Accounts with Credits, Trials or old prices. If you sell your business, ask us first, and we will move the Account if we reasonably can.
6.4A If more people use your Account than it has logins. Your Account has one login for you and one for each Seat. If more people use your Account than it has logins, we may ask you to add a Seat for each extra person. If you do not, Section 27.2 applies.
6.4B Confirming who uses your Account. On request, you must confirm in writing who uses your Account and Seats and which Extension versions you use, and, after your licence ends, that you have deleted the Service. We will not ask more than twice a year unless we reasonably suspect a breach.
6.5 Keep your Account secure. Use a strong, unique password. If you sign in with Google, turn on 2-Step Verification in your Google account. Keep your sign-in details secret. Tell us at once at hello@dropsync.io if you think someone else has accessed your Account.
6.6 Check which account is signed in. Sign in to only one DropSync Account in each Chrome profile. Before you start an Automation Feature, check that the correct DropSync Account, Marketplace Accounts and Supplier Accounts are signed in. The Service acts for the accounts that are signed in. We are not responsible for actions taken for an account that you or your Seat User signed in to, even if it was not the account you intended.
6.7 Your other accounts. You are responsible for keeping your Marketplace Accounts, Supplier Accounts, payment methods and email secure, and for every action in them.
6.8 Checks. We may ask you to confirm your identity, your business, or that you control an eBay store, payment method or email address linked to your Account, or to explain unusual activity. We may also require extra security steps, such as signing in again. Until you complete them, we may pause Trials, Credits, payouts or Automation Features.
6.9 Disputes about who owns an Account. If people disagree about who is the Account Owner, for example after a business is sold or partners separate, we use our billing records. The person or business named there as the account holder is the Account Owner, unless a court orders otherwise or the evidence shows otherwise. We may ask each side for evidence, such as business documents, ID or the last four digits of the card on file. While the dispute continues, we may freeze the Account, its Seats and its Credits. We are not responsible for loss caused by a decision we make in good faith under this Section. (If you are a UK or EU consumer, see Section 4.6.)
7. Plans, Trials and Fees
7.1 Plans. Our Plans, their prices, their Credits and their features are shown on our pricing page at https://dropsync.io/pages/pricing and at checkout. Except as Section 7.1A says, the price shown at checkout is the price you pay. Prices are in pounds sterling or US dollars, depending on where you are.
7.1A Price mistakes. If we show a price, discount, coupon, Credit amount or offer that is obviously wrong because of a mistake (for example the wrong currency, a missing digit or a coupon set to 100%), we may cancel the purchase and refund what you paid, or offer you the correct price. We will tell you as soon as we find the mistake. You keep what you already used at the price you paid, up to the date we tell you. We may correct Credits given because of the mistake (Section 8.5).
7.2 Payment. Payments are processed by Stripe. You authorise us and Stripe to charge your payment method for all Fees when they are due, including every renewal, until you cancel.
7.2A Your payment methods. You confirm that you are allowed to use each payment method that you give us. If someone else pays for your Plan, for example your company or a member of your team, you confirm that they agreed to pay. Keep your payment details up to date. We may refuse or cancel a payment, Trial or purchase if we reasonably believe it is fraudulent or unauthorised, and close any Account opened with it.
7.3 Trials. A Trial normally lasts 7 days and costs £1 (or US$1 if you are billed in US dollars), unless the offer says otherwise. Checkout shows the full Plan price and when we will first charge it. When the Trial ends, your Plan starts automatically and we charge the full Plan price, unless you cancel before the Trial ends. The end date is shown in your account and in our emails. You can cancel online at any time. We email you when your Trial starts, and again about 3 days before it ends. A Trial may include fewer Credits or features than the Plan.
Each person, business and eBay store may have one Trial only. If we reasonably believe someone has taken repeat Trials (for example, with new Accounts, cards or email addresses for the same person, business or eBay store), we may refuse or end those Trials and close the Accounts opened to get them.
You cannot combine a Trial, discount, coupon or promotion with any other offer unless the offer says you can. We may end an offer at any time, but this does not change a Trial or discount you already started.
7.4 Automatic renewal. Plans renew automatically at the end of each billing period (monthly, quarterly or yearly) for the same length of time, at the price then in force, until you cancel. Checkout shows the price and how often you will be charged.
7.5 Price changes. We may change our prices. We will tell you about a price change by email before it first applies to you: at least 7 days before for monthly Plans, and at least 30 days before for quarterly and yearly Plans. The notice will tell you how to cancel. The new price starts at your first renewal after the notice period. If you do not want to pay the new price, cancel before it applies.
7.6 One-off purchases. Credit packs and other one-off purchases are paid for with money or Credits, as shown when you buy. They are not subscriptions.
7.7 Moving your billing. If we move DropSync to a company we set up to run it (Section 1.2), we may also move your subscription and saved payment method to that company's payment account. We will email you before we do this, and tell you the new name that will appear on your card statement. Your Plan and price stay the same. If your renewal date changes, we will tell you, and you will not pay twice for the same period. If you do not want the move, you can cancel before it happens. If our payment provider needs you to confirm your payment details again, we will ask you to do so.
8. Credits
8.1 What Credits are. Credits let you use certain features, for example creating a listing. Credits are not money. They have no cash value. They cannot be exchanged for cash and are not refundable, except where Section 4, Section 9.5 or the law says otherwise.
8.2 When Credits are used. A Credit is used when an action starts. If a Marketplace rejects the action because of your content, settings or account (for example a VeRO block, an item specific you chose not to fill, or a selling limit), the Credit stays used. If the action fails because of a fault in the Service, and not because of a Marketplace, a supplier, your data or your settings, we will return the Credit if you tell us within 30 days. To ask, email hello@dropsync.io or contact support, and tell us which action failed. If you are a consumer, the 30-day time limit does not apply to you, and you keep your rights under Section 4. We may also return Credits in other cases we choose, but we do not have to.
8.3 How long Credits last.
(a) While your Plan is active, unused Credits carry over from one billing period to the next. This includes Credits you buy in packs. If we give you Credits with an end date (for example some bonus or reward Credits), they end on that date.
(b) You can use Credits only while you have an active Plan or Trial.
(c) When your Plan ends, you can no longer use any unused Credits in your Account, including Credits you bought in packs, and we may remove them, except as Section 9.5 says.
(d) We may introduce end dates for Credits by changing these Terms under Section 33. A change applies only to Credits you get after it takes effect.
8.4 Moving Credits. You may move Credits between your Account and its Seats, but only with the tool we provide. You may not sell, transfer or give Credits to anyone else.
8.5 Corrections. We may correct the Credit balance of your Account if Credits were given or used in error, were given for a payment that was refunded or charged back, were obtained by abuse, or were not charged when they should have been. We may also correct it if Credits were given as affiliate, referral or Earn rewards (Earn is our rewards programme) for a payment that was later refunded, charged back or found to be fraudulent. If you have already used those Credits, we may deduct them from your future Credits, rewards or commissions. We will tell you if we make a large correction.
8.6 Changes to Credit costs. We may change how many Credits an action uses. If the change increases what you pay for actions you already use, we will give you notice under Section 7.5.
9. Renewal, cancellation and refunds
9.1 How to cancel. You can cancel at any time online, from your account in the Web App. You can also cancel by email to hello@dropsync.io. Cancelling stops the next renewal. To stop a renewal, cancel before the renewal date shown in your account. If a renewal is charged before you cancel, Section 9.4, or Section 4 if you are a consumer, decides whether you get a refund.
9.2 After you cancel. You keep access to your Plan until the end of the period you have paid for. Then your Plan and Seats end, Section 8.3(c) applies to your Credits, and Automation Features stop.
9.3 Changing your Plan. Upgrades, downgrades and changes of billing period take effect as shown when you make them.
9.4 Refunds for Business Customers. If you are a Business Customer, Fees are non-refundable once a billing period starts. This includes Trial fees, renewals, part periods, unused Credits and features you did not use. The only exceptions are in Section 9.5.
9.5 When we do refund. We will refund:
(a) a charge we made in error, such as a duplicate charge, or a renewal we charged after you cancelled in time;
(b) the unused part of prepaid Fees, and the price of unused Credits you bought in packs, if we end the Service for you without cause. This means that we end your Plan under Section 27.3 (for convenience) or Section 26.5 (we stop offering it where you are), or under Section 27.2 for a reason that Section 27.2A does not exclude;
(c) anything the law requires; and
(d) the unused part of prepaid Fees, worked out by days, if you cancel because of a change to these Terms that has a material adverse effect on you (Sections 2.1A and 33.3), or because we removed a main feature of your Plan (Section 26.1). Tell us that this is why you are cancelling within 30 days after our notice.
We work out the unused part of prepaid Fees by days. We may deduct the value of any Plan Credits you used beyond your pro-rata share, at the price per Credit of our smallest Credit pack at that time.
9.6 Goodwill refunds. We may give a refund or extra Credits as a goodwill gesture. This does not mean we must do it again, for you or for anyone else. It is not an admission of fault.
9.7 If you are a consumer, see Section 4.
9.8 How we refund. We pay every refund to the payment method used for the original charge. We cannot send a refund to a different card, account or person. If that payment method is closed, your bank or card issuer will normally pass the refund on to you.
10. Taxes, failed payments and chargebacks
10.1 Taxes. The price shown at checkout is the total you pay us, including any VAT or sales tax that we charge. If the law requires us to start charging a tax, or a tax rate changes, we may add the tax at the rate in force. We will tell you before it first applies to you. You are responsible for any other taxes on your purchases, and for all taxes on your own business.
10.1A Your location and tax details. Give us your correct billing country and, if you are a business and we ask for it, your VAT or tax number. If we do not charge a tax that we should have charged because the details you gave were wrong, you must pay us that tax and any interest or penalty that a tax authority charges us because of it.
10.1B No deductions. Pay Fees in full, without deduction or withholding. If the law makes you deduct tax, add to the payment so that we receive the full amount.
10.1C Who Sections 10.1A and 10.1B apply to. Sections 10.1A and 10.1B apply to Business Customers and to customers billed in the US. They do not apply to UK or EU consumers.
10.2 Failed payments. If a payment fails, we may try again. Until you pay, we may also pause or limit the Service, pause Seats and Automation Features, or end your Plan. If the first charge after a Trial fails, we may block the Account.
10.3 Chargebacks. If you think a charge is wrong, contact us first at hello@dropsync.io so that we can fix it. If you dispute a valid charge with your bank or card issuer, we may suspend your Account and remove Credits we gave for that charge. If you are a Business Customer and you dispute a valid charge, you must also pay the dispute fee our payment provider charges us and our reasonable costs of collection. If you are a consumer, using your rights with your bank or card issuer costs you nothing extra.
10.3A Tell us about billing errors. If you are a Business Customer and you think a charge is wrong, tell us at hello@dropsync.io within 60 days after the charge. After that, the charge is final, unless it was a duplicate charge or the law gives you a longer period. This does not limit any right that your card issuer gives you.
10.4 Amounts you owe. You must pay any amounts you owe us, even after your Account ends. If you are a Business Customer and you do not pay an amount when it is due, you must also pay interest from the due date at 4% a year above the Bank of England base rate (or the highest rate the law allows, if that is lower), and our reasonable costs of collecting it or of enforcing Section 30, including collection-agency and legal fees, where the law allows.
10.5 Set-off and payments in error. Where the law allows, we may deduct any amount you owe us (for example unpaid Fees, a chargeback or dispute fee, or a Credit correction under Section 8.5) from any amount we owe you, including refunds, affiliate commissions and rewards. We will tell you when we do this. We will not set off an amount that a consumer disputes against a refund the law requires us to make. If we pay, refund or credit you in error, you must repay it, and we may deduct it in the same way.
11. Marketplaces: independence and your responsibility
11.1 No affiliation. DropSync is not part of, affiliated with, sponsored by or endorsed by eBay, Amazon, AliExpress, Shopify, Google, Stripe, OpenAI, Discord or any other Marketplace or Third-Party Service. Their names and trade marks belong to them. We use their names only to say what the Service works with. Some features use a Marketplace's official interface, for example the AliExpress Open Platform. That does not mean the Marketplace approves the Service or the way you use it.
11.2 You must follow every Marketplace's rules. You alone are responsible for following the user agreements, policies and laws that apply to you on each Marketplace and in each country where you sell. This includes rules about:
(a) drop shipping and where you source items;
(b) automated tools, bots and scraping;
(c) listing accuracy, condition, item specifics and photos;
(d) intellectual property, including eBay's VeRO programme;
(e) prohibited, restricted, unsafe, recalled and counterfeit items;
(f) delivery times, tracking, returns, refunds and customer service;
(g) seller performance standards; and
(h) telling buyers who you are, where an item ships from and how long delivery takes.
11.3 Marketplace rules can limit how you use DropSync. Please read this. Each Marketplace has its own rules, including rules on sourcing, drop shipping, listings, intellectual property (VeRO) and automated tools. Automated tools include tools that list, reprice or place orders without a person checking each action. The rules differ between Marketplaces and between sites. They change, often without notice to us. Some ways of using DropSync may not be allowed by a Marketplace, or may stop being allowed later.
Before you use a feature with a Marketplace, read its current rules for every site you use. Read them again when the Marketplace tells you they changed. Start with eBay's rules and policies pages, Amazon's Conditions of Use and AliExpress's Terms of Use, on each site you use.
You decide where you source, how you fulfil orders and which features you turn on, and you accept the risk of those choices. You can also use DropSync with your own stock, or with suppliers and sourcing methods that a Marketplace allows. We do not encourage you to break any Marketplace's rules. We do not tell you that any practice is allowed, and we cannot give you permission on a Marketplace's behalf. If you are unsure, ask the Marketplace or a qualified adviser first.
11.4 Marketplaces change. Marketplaces can change their sites, rules, fees and interfaces at any time, without telling us. A change can stop a feature working, make it work differently, or make a way of using it break the rules. Section 26 applies.
11.5 Your legal duties as a seller. You are responsible for your own business's compliance with the law. This includes business and tax registration; VAT, sales tax, import duties and customs; consumer and distance-selling law for your buyers; product safety, labelling and responsible-person rules; data protection law for Buyer Data; and any licences you need.
12. No liability for Marketplace Account Actions
12.1 Marketplaces decide what happens to your accounts. Subject to Sections 12.2 and 29.1, we are not responsible for any Marketplace Account Action, or for any loss from it, whatever the reason for it. This includes an action that results from:
(a) a Marketplace's or payment provider's own decision, rules, systems or policy changes;
(b) how you choose to source, list, price or fulfil items, and the tools and settings you choose to use;
(c) your settings, Your Content, your Seat Users, or your failure to review what the Service did; or
(d) your buyers, suppliers or other third parties.
This applies even if a Marketplace says that the Service, an Automation Feature, or data that the Service read or wrote caused the action, and even if a claim says that we were negligent. You accept this risk when you use the Service with a Marketplace Account or Supplier Account.
12.2 When Section 12.1 does not apply. Section 12.1 does not apply to the extent that a Marketplace Account Action results from:
(a) a fault in the Service, including its code, servers, configuration or data that we supply;
(b) a failure of our security, including someone exploiting a security weakness in the Service;
(c) information about you that we gave a Marketplace, payment provider or rights owner, unless we gave it in good faith and with reasonable grounds under Section 18.7 or 20.2A; or
(d) our breach of Section 19.
In those cases, Section 29 applies. You can recover only your direct loss, as Section 29.2A describes it, and only within the cap in Section 29.3. For (a) and (b), the conditions in Section 29.2A also apply.
12.3 Losses we never cover. Subject to Section 29.1, we do not pay or reimburse:
(a) lost sales, sales history, watchers, search ranking, seller level or account standing;
(b) the cost of appeals;
(c) the cost of opening a new account, or of appealing or rebuilding a Marketplace Account that a Marketplace limited, suspended or closed; or
(d) the cost of dealing with buyers, rights owners, tax authorities, regulators or courts after a Marketplace Account Action.
12.4 No refund. A Marketplace Account Action is not a reason for a refund of Fees or Credits.
12.5 No duty to help. We have no duty to help you appeal against a Marketplace or deal with one. If we do help, for example by explaining what a feature did or by giving you a restore file, we do so as a courtesy. It is not advice, and it is not an admission of fault.
12.6 If you are a consumer in the UK or the EU, this Section does not apply to you (Section 4.6).
13. Automation Features
13.1 Automation acts for you. Please read this. When you turn on an Automation Feature, you direct the Service, as software that you control, to take actions in your Marketplace Accounts and Supplier Accounts. It uses the sessions you are signed in to and the settings you choose. When it acts, you are acting through it. The Service is a tool that you operate, and we are not your agent (Section 37.2). Every action it takes on your settings is your action, and you are responsible for it as if you had done it yourself. (If you are a UK or EU consumer, see Section 4.6.) These actions include creating, changing and ending listings; changing prices and quantities; setting quantities to zero; uploading files; and placing, paying for and recording orders. This Section does not apply to an action that:
(a) the Service took outside your settings because of a fault in the Service; or
(b) someone other than you or your Seat Users started by exploiting a security weakness in the Service.
Sections 29.2A and 29.3 apply to those actions.
13.1A Automation and electronic agents. Automation Features act as your electronic agent under the US Electronic Signatures in Global and National Commerce Act, the Uniform Electronic Transactions Act and similar laws. Listings, prices, uploads and orders that they make for you bind you as if you made them yourself. (If you are a UK or EU consumer, see Section 4.6.) As between you and us, Section 13.1(a) and (b) and Section 29.2A still apply. If you use your own AI agent or other automation to operate the screens of an Official Client for you (for example a browser agent), you are responsible for everything it does. It must not call our servers directly, and it must not do anything that Section 20.1 or 22.1 forbids.
13.2 You set and check the limits. You choose the settings, rules and limits. Examples are price floors, mark-ups, stock rules, delivery-day limits, daily caps, spend limits, profit floors, End or zero options, and which accounts and sites to use. Check them before you start and after every change. Limits, warnings and safety checks in the Service are aids. They may not catch every problem, and they are not a guarantee.
13.3 Data from other sites can be wrong. Automation Features use data read from Marketplace and supplier pages and interfaces. That data can be wrong, late, incomplete, in another currency or language, or different from what other people see. It can depend on your own sign-in, location, delivery address, memberships (such as Amazon Prime) and Marketplace site. Pages can change or fail to load. When this happens, the Service may make the wrong decision.
13.4 Watch the results. Test new settings in Practice Mode where it is offered, then start small. Review what the Service does, including every upload, price change, ended listing and order. Stop the feature at once if something looks wrong. You can switch off any Automation Feature at any time. However, actions already sent to a Marketplace or supplier may not be reversible. The Service may not run, may run late, or may miss a change, for example when a supplier goes out of stock or changes its price. Do not rely on it as your only way to track stock and prices.
13.5 We are not a backup. The Service is not a system of record. Keep your own exports and backups of your listings, prices, stock, orders and settings. Your current Inventory Sync settings may be kept only in your browser. Each run record keeps a copy of the settings that run used, for 30 days (Privacy Policy, Section 6.3). We cannot restore your settings for you. Keep a note or screenshot of your settings before each run. If there is a dispute about what your settings were, both your records and ours are evidence. We may help you restore data from our records as a courtesy, but we do not promise that any data can be restored.
13.6 We can pause automation. We may pause, slow down or limit any Automation Feature, for one Account or for all users. We may do this to protect you, other users, the Service or a Marketplace, or if we think the feature is not working correctly. We do not have to monitor your Automation Features. While a feature is paused or limited, it does not update your listings, prices or stock, and it does not place orders. Watch your listings and orders yourself, and keep your own way to manage stock and orders in case a feature stops.
13.7 New features and default settings. We may add features and change default settings. A change can affect what a feature does on its next run. Read our update notes, and check your settings after each update. We will not turn on Auto Order, Autopilot or automatic upload to a Marketplace for you. You must turn them on yourself.
14. Auto Order and Autopilot
14.1 Your orders, your money. Auto Order places real orders in your own Supplier Accounts (for example on Amazon in your browser, or on AliExpress through its interface), paid with your own payment methods. Each order is your purchase from that supplier. We never receive, hold or pay out your money. We are not a party to the purchase.
14.2 Check every order. Before and after each order, check the item, variant, pack size, quantity, price, total, delivery address, delivery speed, seller, any vouchers or discounts used, and any gift message. Auto Order may use vouchers, promotions or saved options in your Supplier Account, such as addresses and payment methods.
14.3 Order risks are yours. Subject to Sections 29.1 and 29.2A, we are not responsible for:
(a) orders for the wrong item, variant, pack size or quantity;
(b) duplicate, missing or late orders;
(c) orders over your budget or below your margin;
(d) orders sent to the wrong address;
(e) failures by suppliers or third-party sellers;
(f) cancellations, returns, refunds, customs and delivery problems; or
(g) your buyers' claims.
(If you are a UK or EU consumer, see Section 4.6.)
14.4 Autopilot. Autopilot places orders automatically, without a click from you, within the settings you choose. Autopilot is a Beta Feature. It is available only to accounts we invite. You accept every order that Autopilot places within your settings, except an order described in Section 13.1(a) or (b). (If you are a UK or EU consumer, see Section 4.6.) Caps and checks (such as daily order caps, spend limits per order, profit floors and working hours) work on a best-effort basis and can fail. We may pause or switch off Autopilot at any time. Some Marketplaces and supplier sites restrict tools that place orders without a person checking each one. Read each site's rules (Section 11.3) before you use Auto Order or Autopilot on it. Stop at once if a site tells you to.
14.5 Results we cannot confirm. Sometimes the Service cannot confirm whether an order went through. Check your Supplier Account before you order again.
14.6 AliExpress orders. When you connect your AliExpress account, you authorise us to place and record orders through that connection, using our AliExpress Open Platform apps and your settings. AliExpress may limit or end that connection, or our apps, at any time without telling us. If it does, Auto Order for AliExpress may stop for you or for every user. You can disconnect in the Service or in your AliExpress account. You are responsible for following any AliExpress programme terms that apply to you.
15. Inventory Sync, repricing and listing changes
15.1 What Inventory Sync can do. Inventory Sync and repricing can change prices, change quantities, set quantities to zero, end listings and upload files to your eBay account. They do this based on your settings and the supplier data they read.
15.2 Some changes are hard to undo. Ending a listing, or setting its quantity to zero, can lose its sales history, watchers and search ranking. A relisted item may get a new item number. Review the changes the Service proposes before you upload them, especially when many listings change at once. If you turn on automatic upload, you use it at your own risk. (If you are a UK or EU consumer, see Section 4.6.) A listing set to zero quantity usually stays live. A Marketplace may keep charging fees for it, such as renewal or insertion fees, until you end it. Check your Marketplace's fees before you choose zero instead of End. You pay those fees.
15.3 Prices and fees are estimates. Prices, fees, VAT, currency conversions, shipping costs and profit figures shown by the Service are estimates. Check them against your Marketplace and your supplier. Set your own price floors. We are not responsible for sales below cost, mispriced listings, or orders you must cancel because of a price, except as Section 29.2A says. (If you are a UK or EU consumer, see Section 4.6.) Prices that the Service shows or sets are not offers or promises by us. A price on your listing is your offer to your buyer. If the Service shows or sets a price that is obviously wrong, do not rely on it.
15.4 Products the Service cannot recognise. The Service may not recognise some listings or supplier products. For example, a SKU or product code may have an unusual format, a product page may have changed, or a page may not have loaded. Choose carefully what the Service should do with these listings. Do not choose to end them unless you accept that listings may end in error.
15.5 Hidden label in your listings. When the Service writes a listing description, it adds a hidden label to it. The label holds the listing's SKU, which can include the supplier's product code (for example, an Amazon ASIN or an AliExpress product ID). The label is encoded, not encrypted. Buyers do not see it on the listing page, but anyone who views the page's source code, or uses a tool that reads it, can read it. This includes DropSync's own item-page tools, which other DropSync users can use to read the label on your listings. The Service uses the label to recognise the listing, for example when Auto Order works out what to buy, and to recognise listings that DropSync created (Section 17.4). We can also use it to help you recover your product links if your SKUs are lost. You may remove the label, but some features may then not recognise that listing.
16. AI Features
16.1 AI output is a draft. AI Features can produce output that is wrong, incomplete, made up, out of date, offensive or similar to other people's content. AI output can include wrong item specifics or pack sizes, wrong product claims (such as safety or waterproof claims), brand names you may not use, or text that breaks a Marketplace rule or someone else's rights.
16.2 Check before you publish. Review and correct all AI output before you use it. When you publish it, it is your content and you are responsible for it.
16.3 Your use of output. As between you and us, you may use AI output for your business, subject to these Terms and to other people's rights. Other users may receive similar output. We do not promise that any output is unique, accurate or lawful, or that it is protected by intellectual property rights.
16.4 AI providers. To produce AI output, we send the relevant product data and instructions to AI providers such as OpenAI. Do not put personal data or confidential information into AI Features unless the feature needs it.
16.5 Images. Image Studio and any AI image features can change photos. Changing a photo does not give you any rights in it. Do not remove or hide watermarks, copyright notices or other rights information that you do not own. Badges, frames, templates and overlays that we supply may be used only in listings you make with the Service. We may change or remove them. We do not promise that any image the Service makes or edits is accurate. Make sure that each image still shows the actual item.
17. Clone, competitor and research features
17.1 Only copy what you may use. Please read this. Clone Features and Research Features read listings and pages that other sellers and websites publish. Other people's titles, descriptions, item specifics, photos, brand names and other content may be protected by copyright, trade marks, database rights or Marketplace rules. You must not use the Service to copy anything you do not have the right to use. You are responsible for every title, photo, description and item specific you publish, including content the Service copied, matched or filled in for you. Clone Features may pre-fill a title, category or item specifics from another seller's listing. Pre-filled content is a starting point. It is not permission to use that content. Change it unless you are sure you may use it.
17.2 Matches can be wrong. The Service matches products by words, photos and other signals. A match can be wrong, so the product you list may be different from the other seller's product. Check that your supplier's product is the same as the product your listing describes.
17.3 Repricing is your choice. Undercut and repricing suggestions are not advice. You decide your prices and are responsible for them.
17.4 Limits on Clone Features. We may limit, cap, pause or switch off Clone Features for any Account, including where we receive complaints. We may exclude listings or sellers from Clone Features, for example when a rights owner or seller asks us to, or to protect the Service. To apply these exclusions, we may use the eBay store names linked to DropSync Accounts, including yours, and the label described in Section 15.5. When we exclude a store, the Service may tell the other user that the store belongs to an active DropSync customer. It does not say which customer.
17.5 VeRO and brand checks are aids. Brand, word, VeRO and restricted-item checks use lists and word matching. They cannot find every rights owner, brand, restricted item, or copyright in photos and text. A listing that passes our checks may still break the rules or someone's rights. Our checks are not legal advice or legal clearance.
17.6 Research is information, not advice. Sold counts, sales data, trends, Product Finder results and Sourcing Packs come from public and third-party data, and can be incomplete or wrong. They are not a promise that a product will sell, will make a profit, is in stock, is safe or is allowed on a Marketplace. Credits used to open a Sourcing Pack are not refunded, except as Section 4 or Section 8.2 says.
Use data from Research Features and Clone Features (for example sold counts, competitor scans, Product Finder results and Sourcing Packs) only for your own business. Do not sell it or publish it, and do not share it with anyone other than your staff and advisers. Do not use it to build a database or product list for anyone else. After your Account ends, delete it if we ask.
17.6A Product compliance is your job. We do not, and cannot, check whether a product needs a licence, certificate, safety marking or import approval, is restricted in its category, is blocked in a country, or will attract customs duties. Restricted categories include food, supplements, cosmetics, medical items, batteries and electronics, weapons and age-restricted items. Check this yourself before you list or order.
17.7 Not professional advice. Documentation, tutorials, Discord posts, support replies and other content from us or from other users are general information. They are not legal, tax, accounting, financial or business advice. Get your own professional advice.
18. Your content and your listings
18.1 You own Your Content. We do not claim ownership of Your Content.
18.2 Your licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, store, process, transmit, display and adapt Your Content, and to let our service providers do so, as needed to run, secure, support and improve the Service, to comply with the law and to enforce these Terms. This licence ends when Your Content is deleted from the Service, except for copies in backups and records we keep under Section 27.7. This licence does not cover Buyer Data (Section 18.6). Where the law allows, you waive, and agree not to assert, any moral rights in Your Content against us or our service providers for the uses in this Section, including when the Service edits, crops, translates or reformats it.
18.3 Aggregated data. We may create aggregated or de-identified data from the use of the Service. This data does not identify you, your Seat Users or your buyers. We may use it to run, secure and improve the Service, to rank product ideas, and for statistics. We own that data. We show a product idea based on customers' data only if at least 5 different customers' stores sold it. We never show which stores they were. We will not use the data you give us, or the data we hold about your Account (for example your listings, supplier links, orders and sales), to show other users anything that identifies you or your business, unless you agree or the law requires it. The one exception is that Clone Features may tell another user that an eBay store belongs to an active DropSync customer, so that they do not clone it. We do not tell them which Account (Section 17.4). This does not stop other users from using Research Features or Clone Features on information that a Marketplace shows publicly.
18.4 Your promises. You promise that:
(a) you have all the rights, permissions and licences needed for Your Content and for every item you list, including the right to use its photos, text and brand names;
(b) Your Content and your listings are accurate and lawful, and follow Marketplace rules; and
(c) the items you sell are genuine, safe and lawful to sell where you sell them.
18.5 We may remove content. We may remove or block Your Content, or stop a feature from processing it, if we reasonably believe it breaks these Terms, the law or someone else's rights, or puts the Service at risk. We do not review Your Content, or your listings, products, photos or orders, before you publish or send them, and we have no duty to do so. Our checks (Section 17.5) are aids for you. If someone tells us that your content breaks their intellectual property rights, we deal with it under Section 18.7. For other complaints, we may act under this Section, but we do not have to.
18.6 Buyer Data. Sections 18.2 and 18.3 do not apply to Buyer Data. We use Buyer Data only to provide, support and fix the Service for you, on your instructions. We do not sell it, and we do not use it for our own marketing or for advertising.
18.7 Complaints from rights owners and other sellers.
(a) If you think someone used the Service to copy or use your content, photos, brand or listings without permission, email hello@dropsync.io. Tell us who you are and how to contact you, what you own, where the content is (links, item numbers or file names) and why you think it infringes. Confirm that you own the rights or may act for the owner, that you believe in good faith that the use is not allowed, and that your notice is accurate. Sign the notice with your full name.
(b) We review each complaint. We may remove or block content that the Service stores or shows. We may also exclude the listings or sellers from Clone Features and Research Features (Section 17.4), limit the Account concerned, and send the complaint to that Account.
(c) We cannot remove listings from a Marketplace. Report them to the Marketplace too, for example through eBay's VeRO programme.
(d) If we removed your content and you think we made a mistake, email hello@dropsync.io. Say what was removed and why you think it was a mistake, and give your name and contact details. We may send your reply to the person who complained, and we will review our decision.
(e) In appropriate cases, we may close the Accounts of users who repeatedly infringe other people's rights.
(f) Do not send a complaint that you know is false. A person who knowingly sends a false complaint may be liable for the harm it causes.
19. Buyer data, privacy and support access
19.1 Our Privacy Policy. The Privacy Policy explains how we handle personal data about you and your Seat Users, as a controller.
19.2 For Buyer Data, you are the controller. For Buyer Data, you are the controller and we are your processor. We process Buyer Data only to provide the Service on your instructions. Schedule 1 sets out how we process it.
19.3 Your duties for Buyer Data. You must have a lawful basis to give us Buyer Data. You must give your buyers the information the law requires. You must use Buyer Data only for lawful purposes, such as fulfilling their orders. Do not put special-category personal data (for example, health information) into the Service unless a feature needs it.
19.3A Sending data to Third-Party Services. When you use a feature with a Third-Party Service, you instruct us to send Your Content to it and to receive data from it, as the feature needs. For Auto Order, this includes your buyer's name, delivery address and phone number, which go to the supplier you choose so that it can deliver the order. For AliExpress orders, our servers send these details to AliExpress for you. You choose the supplier and decide to send the data. The supplier is not our sub-processor, and its own terms and privacy policy apply. You must tell your buyers that you share their delivery details with suppliers, including suppliers outside the UK or EU, as the law requires.
19.4 Support access. Our support team looks at your Account, settings, run records and related data, including Buyer Data, only:
(a) to help you when you, or someone using your Account, ask us for help; or
(b) for security, fraud-prevention or legal reasons.
We may also look at Account settings, listing records and run records where we reasonably need to find or fix a fault in the Service that may affect you, or to warn you about a problem. For example, we run a nightly check for listing records that look wrong. We look at Buyer Data for this only where we need it to fix that fault. We look only at what we need for the purpose. Our staff do not sign in to your Marketplace Accounts or Supplier Accounts. We may use software tools to help us, including AI tools run by our service providers.
Support is given on a best-effort basis. Support replies give general help (Section 37.11). We do not promise a response time or a fix. Fixes, restore files and goodwill Credits are a courtesy, not an admission of fault.
19.5 Security. We take steps to protect data, and we work to find and fix security weaknesses. No system is completely secure, and we do not promise that the Service is free of security weaknesses. If we become aware of a personal data breach that affects Buyer Data, we will tell you as Schedule 1 says.
19.6 Legal requests and complaints. We may keep and share information about your Account, your use of the Service and Your Content when we believe in good faith that this is needed to:
(a) follow the law, a court order or a lawful request from a regulator, tax authority or law-enforcement body;
(b) answer a complaint that your listings or Your Content break someone's rights;
(c) enforce these Terms; or
(d) protect the Service, our users or the public.
We share only what is needed. Where the law allows, we will tell you first.
If you are a Business Customer, you will pay our reasonable costs, including legal fees and staff time, of answering:
(i) legal process that names your business, such as a subpoena, court order or regulator demand; or
(ii) a complaint about your listings, products or Your Content that turns out to be valid, or that results from your breach of these Terms.
This does not apply to a request about something we did wrong. Where we can, we will tell you first and give you an estimate. These costs are capped at £500, or US$650 if you are billed in US dollars, for each request, unless you agree to more. We can recover costs above that cap only under Section 30.
19.7 Data you take out of the Service. When you export, download or copy data from the Service, for example order files with buyer addresses, sync files or reports, you are responsible for keeping it secure and for how it is used. We are not responsible for it after it leaves the Service. Tell us at once at hello@dropsync.io if you find that your Account, your Extension install or Buyer Data from the Service may have been accessed by someone else.
20. Acceptable use
20.1 You must not use the Service, or let anyone else use it, to:
(a) break any law or any Marketplace's rules, or help anyone else to do so;
(b) list or sell counterfeit, stolen, illegal, recalled, unsafe, prohibited or restricted items;
(c) infringe or misuse anyone's intellectual property, privacy or other rights;
(d) mislead buyers, including about an item, its source, its condition, its price or its delivery time;
(e) send spam, or collect personal data that you have no right to collect;
(f) commit fraud, including trial, refund, payment or affiliate fraud, or use stolen payment methods;
(g) (i) open or use more than one Account to get extra Trials, Credits, rewards or refunds, or to avoid a suspension or limit; or (ii) open, run or use an Account for, or for the benefit of, a person or business whose Account is suspended under Section 27.2, or that we closed under Section 27.2, unless we agree in writing. You may have more than one Account for separate businesses or stores;
(h) get around any limit, cap, Credit charge, Plan restriction, feature gate, rate limit or sign-in check;
(i) access or call our servers, interfaces or databases other than through an Official Client, or with automated tools, scripts or bots that are not part of an Official Client. Any access to our servers, interfaces or databases that is not through an Official Client signed in to your own Account or Seat is unauthorised. This does not stop you from using an AI assistant or browser agent to operate an Official Client for you, as a person would, through its normal screens and within your Plan's limits (Section 13.1A);
(j) scrape, crawl, mirror or harvest the Service, the Web App or the Website, by automated or manual means, or systematically copy, record or export Output to publish or sell it, or to share it with anyone other than your staff, advisers, and the Marketplaces and suppliers you use for your own business. This does not stop you copying insubstantial parts as the law allows (Section 22.3);
(k) interfere with, overload, probe, scan or test the security of the Service or any other user's account, without our written permission;
(l) upload viruses or other harmful code;
(m) resell, rent, lease, sublicense or time-share the Service, provide it to others as a service, or include it in another product;
(n) build, train or improve a product, service or AI model that competes with DropSync, using the Service, its Output or our Documentation;
(o) do anything else that harms, or could seriously harm, the security or operation of the Service or other users' accounts;
(p) try to make an AI Feature or our support chat reveal its prompts, instructions or rules, or other users' data, or ignore its safety rules, for example by prompt injection;
(q) create, list, post or send content that is defamatory, obscene, hateful, harassing or threatening, or that sexualises minors, or harass, threaten or abuse our staff, other users or community members, including in support chat, email or Discord;
(r) pretend to be DropSync, our staff, our support team or another user, or say falsely that you speak for us or are linked to us;
(s) use information about other sellers or their buyers that you get through the Service to harass or threaten anyone, to contact another seller's buyers, to make false or misleading reports to a Marketplace or rights owner (for example a false VeRO report), or to collect or publish personal data about other sellers; or
(t) give false information about who you are, where you are or whether you are a business, or hide or change where you connect from (for example with a VPN or proxy), to get a different price, currency, Trial, tax treatment or feature, or to get around a limit or block.
20.2 We may investigate a suspected breach. We may use logs and technical signals to do so (Section 22.6).
20.2A Sharing information about fraud and misuse. If we reasonably suspect fraud, use of stolen payment methods, payment or Trial abuse, account takeover, illegal items, an attack on the Service, or a breach of Section 20 or 22, we may give relevant information to the police or other authorities, our payment providers, card issuers, the Marketplace concerned or an affected rights owner, as the law allows. If you dispute a charge, we may give your bank, card issuer or payment provider the records needed to answer it, such as your sign-ups, your sign-ins and your use of the Service. We share facts and our reasons, not opinions about you.
20.3 Your right to review us. Nothing in these Terms stops you from posting an honest review, rating, opinion or comparison of the Service, from complaining to us, or from reporting us to a regulator or a court. We will not charge you or take action against you for doing so. Section 23 still protects our trade secrets and other confidential information.
21. Our intellectual property and your licence
21.1 Ownership. The Service and all intellectual property rights in it belong to us or to the other people who own them. This includes all software, code, interfaces, designs, the look and feel of the Web App and the Extension (including their screens, layouts, icons and graphics), rules, data, Documentation, Sourcing Packs, and the DropSync name and logo. Some parts of the Service include material that belongs to third parties, including open-source components (Section 21.4). We keep all rights that these Terms do not expressly give to you.
21.2 Your licence. While your Account is in good standing and you follow these Terms, we give you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to:
(a) install and use the Official Client versions of the Extension; and
(b) use the Web App, the Website and the rest of the Service,
in each case only for your own internal business and only for the number of logins your Account has.
21.2A Conditions of your licence. Your licence covers only use that meets all of these conditions:
(a) you use an Official Client;
(b) you use it while signed in to your own Account or Seat;
(c) you do not copy, modify, decompile or redistribute the software, except as Section 22.3 allows; and
(d) you do not get around a measure described in Section 22.1(f).
Use that does not meet all of these conditions is outside your licence and breaks these Terms. Use that does not meet condition (c) or (d), or that copies the software outside an Official Client, may also infringe our copyright.
21.3 Licensed, not sold. The software is licensed to you, not sold. We, or the other owners of the material in it, keep title to every copy, including copies stored or running in your browser. You may not sell, transfer, lend or give away any copy. Some code runs in your browser, so you may be able to see it. Seeing it gives you no right to use it beyond this licence.
21.4 Third-party and open-source components. Some parts of the Service include material that belongs to others. Where an open-source licence applies to a component, nothing in these Terms limits your rights under that licence.
21.5 Trade marks. DropSync and our logos are our trade marks. Without our written permission, you must not use them, or anything confusingly similar, in any business name, domain name, app name, social media handle, advert or search-engine keyword, or in any way that suggests we endorse you. You must not register, or apply to register, any of them, or anything confusingly similar, as a trade mark, business name, domain name or social media handle. Misspellings and variations of DropSync (for example "DropSynk" or "Drop-Sync") count as confusingly similar, including in email addresses and web addresses.
22. Protecting the Service (code and product)
22.1 What you must not do with our software. Except as Section 22.3 allows, you must not do any of the following, or help or let anyone else do them:
(a) copy, modify, translate or adapt any part of the Service, or make derivative works from it;
(b) decompile, disassemble, de-obfuscate, unpack or reverse engineer the Service, or try to find its source code, prompts, templates, lists, rules, models or data;
(c) extract, copy or reuse the Service's code, prompts, templates, word and brand lists, rules or data;
(d) redistribute, publish, share, sell or host any version of the Extension or its files, including installation zips, old versions and modified versions;
(e) remove, change or hide any copyright notice, author or owner name, licence terms, build number, watermark or other identifier in the Service. Under US law, some of these are copyright management information (17 U.S.C. 1202). This does not apply to the listing label in Section 15.5;
(f) get around, disable, remove or interfere with any technological measure that controls access to the Service or protects our rights in it, or make, share or use any tool for that purpose. Examples of these measures are sign-in checks, identity checks on server requests, Credit metering and version checks (see also 17 U.S.C. 1201). Where we obfuscate our code, that obfuscation is also protected by this Section as a contract term;
(g) use the Service or any part of it to build a similar or competing product, or copy its features, design or user interface for that purpose;
(h) run benchmarks or tests of the Service for a competitor of DropSync, or to build or improve a competing product, or run automated load or stress tests on our servers, without our written permission. This does not limit Section 20.3;
(i) keep using any version of the Service after your licence ends; or
(j) inject code or content into the Web App or the Extension, or use another extension, script or tool to change how they look or work, to read their data or to capture their Output. This does not stop you from using accessibility tools, normal browser features such as zoom, translation and password managers, or screenshots, screen recording, printing, copy and paste, and exports made for your own business or to get support from us. It also does not stop you from using an AI assistant or browser agent to operate an Official Client for you, as Section 13.1A allows.
22.2 Official Clients only. Use the Service only through an Official Client. We may stop supporting old versions and may require you to update. Old or unofficial versions may stop working at any time. When we tell you that a version is no longer supported, stop using it and delete its files, including any installation zip you downloaded from us.
22.2A Updates. When we release an update, install it within 30 days, or sooner if we tell you that it is needed for security. If your copy of the Extension does not update by itself, you must install each update yourself. We may limit or block access to our servers from versions we no longer support, and features may then stop working. This is not a breach of these Terms by us, and it is not a reason for a refund. If you are a consumer, Section 4 still applies.
22.3 Rights the law gives you. Nothing in these Terms stops you from doing anything with software or databases that the law of your country expressly allows and does not allow a contract to prevent. For example, UK and EU law allow making a necessary back-up copy, decompiling for interoperability in the limited cases the law allows, observing, studying and testing how a program works while you use it as your licence allows, and extracting insubstantial parts of a database. If you need information to make an independent program work with the Service, email hello@dropsync.io. Where we can, we will make the information available on reasonable terms. Where no such law applies to you, Section 22.1 applies in full.
22.4 Confidential parts of the Service. The non-public parts of the Service are our confidential information, or that of our licensors, under Section 23. This includes Beta Features, prompts, rules, server interfaces, unannounced prices and how the Service works.
22.5 Reporting copies. If you see a copy of DropSync, or someone selling or sharing it, tell us at hello@dropsync.io.
22.6 Technical protection and monitoring. We may use technical measures to protect the Service and enforce these Terms. These may include sign-in and identity checks on server requests, version checks, rate limits, install identifiers, and monitoring of usage patterns and logs.
22.7 If you misuse the software or our servers. If you break Section 20.1(h) to (n) or (p), Section 21.2A(c) or (d), Section 21.5, Section 22.1 or 22.8, or Section 22.9 by using or sharing a security weakness:
(a) we may end your Account and your licence at once, without notice. Section 27.2A applies to refunds;
(b) you must stop using, and delete, all copies of the Service and of our confidential information;
(c) we may ask a court for an injunction or other order to stop the breach, and for damages, including statutory damages under 17 U.S.C. 1203 where they are available, because money alone may not be enough to put the breach right;
(d) where the law allows, you must pay our reasonable costs of enforcing this Section, including legal fees; and
(e) you must pay the direct costs that the breach causes us, for example AI, cloud, database and supplier-interface charges for requests made outside an Official Client or above your Plan's limits, and the reasonable cost of investigating the breach. We will give you a breakdown.
(If you are a UK or EU consumer, see Section 4.6.)
22.8 Authorised access. You are authorised to access our servers, interfaces and databases only:
(a) while your licence under Section 21 is in force;
(b) while signed in to your own Account or Seat; and
(c) through an Official Client.
Your authorisation ends automatically when your licence ends. We may also end it at any time by written notice to you and by blocking access. After that, any access is without our authorisation.
22.9 Security problems. If you find a security weakness in the Service, report it at once to hello@dropsync.io. Do not use it, and do not access data that is not yours. Do not tell anyone else about it until we have fixed it or 90 days have passed, whichever is first. This does not stop you from reporting to a regulator or the police. Information about our security, including weaknesses, is our confidential information under Section 23. We will not take legal action against you for a good-faith report that follows this Section.
23. Confidential information and Beta Features
23.1 Confidentiality. You must keep our confidential information secret and use it only to use the Service. You may share it only with your Seat Users who need it and who are bound by the same duty. Confidential information means non-public information about the Service or our business that we mark as confidential, or that a reasonable person would understand to be confidential. It does not include information that becomes public through no fault of yours, that you already had lawfully, or that you create yourself without using our confidential information.
23.2 Beta Features. Beta Features are provided "as is" for testing. They may be incomplete, contain errors, change or be withdrawn at any time without notice. They may have stricter limits. Beta Features, and non-public information we give you about them, are our confidential information until we announce them publicly. You use Beta Features at your own risk. (If you are a UK or EU consumer, see Section 4.6.) Do not publish screenshots, videos or details of a Beta Feature that we have not announced, unless we agree. Section 20.3 still lets you give an honest review.
23.3 Beta limits. We do not have to support, fix or release any Beta Feature. Use a Beta Feature with real listings, orders or money only if you accept that it may fail. Subject to Section 29.1, our total liability for all claims about a Beta Feature that costs nothing extra and does not place orders or spend your money is £100, or US$130 if you are billed in US dollars. This amount counts towards the cap in Section 29.3. Autopilot, and any other Beta Feature that places orders or spends your money, does not take this lower limit. Sections 29.2A and 29.3 apply to it. (If you are a UK or EU consumer, see Section 4.6.)
24. Feedback
24.1 If you give us ideas, suggestions or other feedback about the Service (Feedback), we may use it for any purpose without paying you or owing you anything. You give us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free licence to use Feedback. You keep ownership of your Feedback and of your reviews. We do not have to use Feedback. Feedback is not confidential, even if you mark it as confidential. You confirm that you may give it to us and that it does not contain anyone else's confidential information. We may already be working on similar ideas, or get them from other people. You will not make any claim against us because we build something similar to your Feedback. Where the law allows, you waive any moral rights in your Feedback.
25. Third-Party Services
25.1 The Service works with Third-Party Services that we do not control. Their own terms and privacy policies apply to your use of them.
25.2 We are not responsible for Third-Party Services, including their availability, changes, prices or what they do with your data. If a Third-Party Service changes, limits access, raises its prices or stops, a feature may change or stop working.
25.3 Links to other websites, apps or tools, including partner offers, are for your convenience. We do not endorse them. We may earn a commission from some partner links.
25.4 Other users. Other people also use the Service. They may list against, clone, reprice against or undercut your listings. Some may copy your titles or photos, even though Section 17.1 forbids it. They act for themselves, not for us, and we are not responsible for what they do. (If you are a UK or EU consumer, see Section 4.6.) If you think another user broke these Terms, tell us at hello@dropsync.io. We deal with rights complaints under Section 18.7. For other complaints, we may act under Section 17.4 or 27.2, but we do not have to.
25.5 Our providers' rules. Some features run through our own accounts with Third-Party Services, for example our AliExpress Open Platform apps and our AI providers' accounts. When you use those features, you must not do anything that breaks those providers' published rules for their services, such as the AliExpress Open Platform rules or OpenAI's usage policies. If your use breaks those rules, or materially contributes to a provider warning, limiting or ending our access, we may suspend that feature or your Account under Section 27.2.
26. Changes to the Service and availability
26.1 We may change the Service. We may add, change, limit or remove features at any time. For example, we may do this because of Marketplace changes, legal or security risks, changes by our providers, or costs. If we remove a main feature of your Plan for a reason other than a legal, security or Third-Party Service reason, we will tell you in advance where we reasonably can. You may then cancel your Plan. Section 9.5(d) applies.
26.2 No uptime promise. We do not promise that the Service will be available at any particular time, without interruption or without errors. We do not offer a service level agreement or service credits. We may take the Service offline for maintenance.
26.3 Chrome Web Store. The Extension depends on Google Chrome, and on the Chrome Web Store if you installed it from there. Google may remove, disable or limit the Extension. If this happens, the Service may stop working until we can restore it.
26.4 Updates. The Extension may update automatically. Some updates are necessary for the Service to keep working. Section 22.2A applies.
26.5 Where we offer the Service. We may decide not to offer the Service, a Plan or a feature in a country or region, or to stop offering it there. Do not use the Service where its use is against the law. If we stop offering your Plan where you are, Section 9.5(b) applies to prepaid Fees.
27. Suspension and termination
27.1 You can end these Terms at any time by cancelling your Plan (Section 9) and asking us to close your Account.
27.2 When we may suspend or end your Account. We may suspend or end your Account at once, with or without notice, if:
(a) you do not pay;
(b) you break Section 6.4, 20, 21 or 23, or Section 22 (except Sections 22.2 and 22.2A, which point (g) covers), or you break these Terms seriously or repeatedly;
(c) we reasonably suspect fraud or abuse, including trial, refund, chargeback, Credit or affiliate abuse;
(d) your use creates a real security risk, or is causing or likely to cause serious harm to the Service, other users or a Marketplace, or puts at risk our Chrome Web Store listing, our AliExpress Open Platform apps, or our access to a Marketplace, AI provider or payment provider;
(e) we must do so to follow the law, a court order, or a request from a regulator, Marketplace or provider;
(f) we reasonably believe that continuing to provide the Service to you would expose us to material legal liability;
(g) you keep using a version of the Extension after we tell you that it is no longer supported; or
(h) you do not give us information we reasonably ask for under Section 6.8 within 14 days.
Where reasonable, we will suspend only the affected feature. We will tell you why, unless the law or security reasons prevent this. (If you are a UK or EU consumer, see Section 4.6.)
27.2A Refunds when we end your Account. We will not refund any Fees if we end your Account under Section 22.7(a), or under Section 27.2(a), (b), (c), (g) or (h), except where the law requires. (If you are a UK or EU consumer, see Section 4.6.) If we end your Account under Section 27.2 for any other reason, Section 9.5(b) applies, minus any amount you owe us (Section 10.5).
27.2B Fees during a suspension. This Section applies when we suspend your whole Account under Section 27.2. If we suspend it under Section 27.2(a), (b) or (c) (you did not pay, you broke these Terms as Section 27.2(b) describes, or we suspect fraud or abuse), your Plan continues and Fees stay due during the suspension, for up to 30 days. By the end of that time, we will either restore your Account or end it under Section 27.2, and Section 27.2A then applies. You can still cancel at any time. If we suspend your whole Account for any other reason, you do not pay for the time it is suspended. A freeze under Section 6.9 counts as a suspension for another reason. A pause of some features under Section 6.8 or 13.6 does not change your Fees.
27.3 For convenience. We may also end your Plan for any other reason by giving you at least 30 days' notice. Section 9.5(b) then applies.
27.4 What happens when your Account ends.
(a) Your licence ends. You must stop using the Service and uninstall the Extension.
(b) Your Seats end.
(c) Automation Features, scheduled jobs and Autopilot stop. Actions already sent cannot be undone.
(d) We stop using any connection to your Supplier Accounts (such as an AliExpress authorisation). You can also revoke it in that account.
27.5 Credits and balances. Unused Credits end, except as Section 9.5 says. If we end your Account under Section 27.2(b), (c) or (f), we may also cancel unpaid affiliate commissions and rewards.
27.6 Exporting your data. You can export some of Your Content, such as sync files and reports, using the tools in the Service while your Account is open. You can also ask us at hello@dropsync.io for a copy of Your Content that we hold. We will provide it on request, within a reasonable time. This does not limit your rights under data protection law.
27.7 Deleting your data. You can ask us to delete personal data at any time under data protection law (Privacy Policy, Section 18). If you ask us to delete Your Content after your Account ends, we will delete or anonymise it on request, within a reasonable time. We may also delete it at any time after your Account ends. In either case, we may keep:
(a) copies in backups, which are overwritten on their normal cycle;
(b) records we must keep for legal, tax, accounting, security or fraud-prevention reasons, including the records in Section 2.5; and
(c) aggregated data under Section 18.3.
27.8 What continues after the end. Sections that by their nature should continue after these Terms end will continue. These include Sections 1.7, 2.5, 3, 4, 6.2, 6.4A, 6.4B, 6.9, 8.1, 8.5, 9.4 to 9.8, 10, 12, 13.1, 13.1A, 13.5, 14.1, 14.3, 15, 16.2, 17.1, 17.6, 17.6A, 18, 19, 20.2A, 21 (except 21.2 and 21.2A), 22 to 25, 27.2A, 27.4 to 27.8, 28 to 37 and Schedule 1, and any amounts you owe.
27.9 Inactive Accounts. If an Account has no paid Plan and no one has signed in to it for 12 months, we may close it and delete its data. We will email the Account email address at least 30 days before we do this. If you sign in before the date in that email, the Account stays open. If we close it, Sections 27.4 to 27.7 apply.
28. DISCLAIMER OF WARRANTIES
28.1 The Service is provided "as is" and "as available". We provide the Service with all its faults, and without any promise except those set out in these Terms.
28.2 TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, CONDITIONS AND OTHER TERMS, WHETHER EXPRESS, IMPLIED OR STATUTORY. THIS INCLUDES IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE.
28.3 In particular, we do not promise that:
(a) the Service will be uninterrupted, timely, secure, or free of errors or harmful code;
(b) any data, price, stock level, delivery estimate, sold count, fee or profit estimate, product match, translation or AI output is accurate, complete or current;
(c) brand, VeRO or restricted-item checks will catch every problem;
(d) any listing, order, upload or price change will succeed or be correct;
(e) the Service will work with any Marketplace, site, browser or account, or will keep working after they change;
(f) Practice Mode will behave exactly like the live feature;
(g) your use of the Service follows any Marketplace's rules;
(h) you will make any sales or profit;
(i) your use of the Service, your listings or your orders follow the law, including tax, consumer, product-safety and data-protection law, in every country where you are, sell or deliver;
(j) we will check who our users or Seat Users are, or watch how they use the Service; or
(k) any message, email or file that the Service sends for you will be delivered.
28.4 Section 4 explains how this Section applies to consumers.
29. LIMITATION OF LIABILITY
29.1 What we do not limit. Nothing in these Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence;
(b) our fraud or fraudulent misrepresentation;
(c) our wilful misconduct;
(d) our gross negligence, but only where the law that applies to the claim does not allow that liability to be limited;
(e) any other liability that the law does not allow us to limit or exclude; or
(f) for customers in California, any liability that California Civil Code Section 1668 does not allow us to exclude, including liability for our own violation of law.
29.2 Losses we are not liable for. Please read this together with Section 29.3. Each lettered paragraph in this Section 29.2 is a separate term. If a court finds that one of them is unenforceable, the others still apply. Each one applies to claims in contract, tort (including negligence), breach of statutory duty or otherwise, even if a claim says that we were negligent, and even if the loss was foreseeable or we were told it might happen.
(a) Subject to Sections 29.1 and 29.2A, we are not liable for loss of profit, revenue, sales, business, contracts, customers, goodwill or anticipated savings.
(b) Subject to Sections 29.1 and 29.2A, we are not liable for loss of or damage to the standing, sales history, watchers, search ranking, seller level or reputation of a Marketplace Account or Supplier Account.
(c) Subject to Sections 29.1 and 29.2A, we are not liable for fees, fines, defects, holds or reserves charged or imposed by a Marketplace, payment provider or supplier, or for money that is held, refunded or charged back.
(d) Subject to Sections 29.1 and 29.2A, we are not liable for the cost of goods, shipping, duties, taxes, returns, refunds, cancellations or buyer claims, including for orders placed by Auto Order or Autopilot.
(e) Subject to Sections 29.1 and 29.2A, we are not liable for loss arising from listings that the Service created, changed, mispriced, set to zero or ended, or did not change in time.
(f) Subject to Sections 29.1 and 29.2A, we are not liable for loss or corruption of data, or for the cost of restoring it.
(g) Subject to Sections 29.1 and 29.2A, we are not liable for loss, to the extent it was caused by:
(i) your settings or Your Content;
(ii) your failure to review Output, orders or uploads as Sections 13 to 17 ask;
(iii) your failure to keep backups;
(iv) your failure to keep your sign-in details, devices, browser profiles and other accounts secure;
(v) your use of a feature in a way that the Documentation or the Service tells you not to; or
(vi) actions taken for an account that you or your Seat User signed in to.
(h) Subject to Sections 29.1 and 29.2A, we are not liable for loss, to the extent it was caused by Third-Party Services, Marketplaces, suppliers, other users of the Service or an event under Section 32.
(i) Subject to Sections 29.1 and 29.2A, we are not liable for indirect, consequential, special, incidental or punitive loss or damage.
(j) Subject to Sections 29.1 and 29.2A, we are not liable for claims, fines, penalties, taxes, duties, interest or legal costs that a buyer, rights owner, competitor, tax or customs authority, regulator, court or anyone else brings against you or imposes on you because of your business, your listings, your products or your orders.
(k) Subject to Sections 29.1 and 29.2A, we are not liable for loss caused when we, in good faith and as these Terms allow, change, pause, slow down, limit, suspend or end the Service, a feature or your Account, investigate a suspected breach, or act on a complaint or request from a rights owner, Marketplace, payment provider, regulator or law-enforcement body. You still get any refund that Section 9.5 gives.
(l) Subject to Sections 29.1 and 29.2A, we are not liable for damage to your computer, browser, other extensions or other software, including conflicts between the Extension and other extensions.
29.2A Faults in the Service or our security. Sections 12.1, 14.3, 15.3, 29.2(c) to (f) and 29.2B(a) do not exclude our liability for your direct loss if all of these are true:
(a) the loss was caused by a fault in the Service (including its code, servers, configuration or data that we supply), or by a failure of our security (including someone exploiting a security weakness in the Service);
(b) the Service did something that you and your settings did not tell it to do, or, because of a fault in the Service, did not do something that your settings told it to do; and
(c) you could not reasonably have prevented the loss by using Practice Mode, your limits or the review steps in Sections 13 to 15.
Sections 12.1 and 29.2(c) to (f) also do not exclude your direct loss from a Marketplace Account Action described in Section 12.2(c) or (d).
Direct loss means, for example: the price you paid for an order that the Service placed without your instruction; the amount by which an item sold below cost because the Service set a price that your settings did not allow; Marketplace fees to relist items that the Service ended in error; the reasonable cost of restoring data or listings; and the cost described in Section 29.2B(a). It never includes the losses in Section 12.3, Section 29.2(a), (b), (i) or (j), or Section 29.2B(b). Our liability under this Section counts towards, and is limited by, the cap in Section 29.3.
29.2B Replacement work and wasted time. Each lettered paragraph in this Section is a separate term, separate from Section 29.2. Each one applies to claims in contract, tort (including negligence), breach of statutory duty or otherwise, even if the loss was foreseeable.
(a) Subject to Sections 29.1 and 29.2A, we are not liable for the cost of buying replacement software or services, or of paying staff, contractors or virtual assistants to do by hand work that the Service would have done. But if a fault described in Section 29.2A stopped the Service doing that work, the reasonable cost of doing it by hand for up to 14 days counts as direct loss under Section 29.2A, within the cap in Section 29.3.
(b) Subject to Sections 29.1 and 29.2A, we are not liable for wasted time, including management time, or for distress or inconvenience.
29.3 Our total liability is capped. Subject to Section 29.1, our total liability to you for all claims together, arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of:
(a) the total Fees you paid us in the 12 months before your first claim; and
(b) £100, or US$130 if you are billed in US dollars.
This is one total limit for all claims together, against us and against the people named in Section 29.5. More than one claim does not increase it. Sections 29.2, 29.2A, 29.2B and 29.3 apply even if a remedy in these Terms fails of its essential purpose.
In this Section, Fees means the amounts you actually paid us, after refunds and chargebacks, and not counting taxes.
29.4 Why these limits are fair. Our prices reflect these limits. You are best placed to judge the risks of your own business, to review what the Service does, and to insure against business losses. In particular:
(a) lost profits and Marketplace standing depend on your own business choices and on Marketplaces that we do not control;
(b) fees, goods costs, buyer claims and listing changes follow the prices, limits and suppliers that you choose, and you can check them before and after each action;
(c) you can protect against lost data with the backups that Section 13.5 asks you to keep;
(d) you control loss that your settings cause, and other people control loss that they cause; and
(e) claims about your business come from decisions that only you make.
We recommend that you have insurance that suits your business.
29.5 People who work with us. Our employees, contractors, agents, licensors and service providers, and our successors and assigns (other than a company we transfer these Terms to under Section 1.2 or 37.1), are not personally liable to you for anything relating to the Service or these Terms. You agree to bring any claim only against DropSync, or, after a transfer under Section 1.2 or 37.1, against the company we transferred these Terms to. This Section does not apply to liability under Section 29.1. Each of these people may rely on and enforce this Section and Sections 29.2 to 29.4, 29.7, 30 and 31.
29.6 Section 4 explains how this Section applies to consumers.
29.7 Your disputes with others. A dispute between you and a buyer, supplier, Marketplace, payment provider, rights owner or other user is between you and them. We are not a party to it, and we have no duty to resolve it. If you are a Business Customer, you release us and the people named in Section 29.5 from claims that arise only from what that other party did or did not do. This release does not cover liability under Section 29.1, or direct loss that Section 29.2A lets you claim.
30. CLAIMS CAUSED BY YOUR BUSINESS (YOUR INDEMNITY)
30.1 You will cover our losses caused by your business. You will defend the Indemnified Parties against, and pay them for, all claims, losses, damages, fines, penalties, settlements, costs and expenses (including reasonable legal fees) arising out of:
(a) your listings, products, sales, prices, orders and fulfilment;
(b) Your Content, including any claim that it, or anything you published using Clone Features, AI Features or Image Studio, infringes someone's rights;
(c) any dispute with your buyers, suppliers, Marketplaces, payment providers, tax authorities or competitors;
(d) Buyer Data you gave us, or your breach of data protection law;
(e) the acts or omissions of your Seat Users and anyone else using your Account;
(f) your breach of these Terms, the law or any Marketplace's rules;
(g) your affiliate or promotional activity;
(h) any false or misleading statement you make to us, for example about your business status, location, tax details or right to a Trial; or
(i) your use of a Third-Party Service with the Service, including any breach of its terms or usage rules.
The Indemnified Parties are us and the people named in Section 29.5. This Section applies even if the claim says that an Indemnified Party was negligent.
30.2 How it works.
(a) We will tell you promptly about a claim. A delay only reduces your duty to the extent that the delay harms you.
(b) You may control the defence, with lawyers reasonably acceptable to us. We may take part with our own lawyers at our own cost. But we may control the defence ourselves, at your reasonable cost, of any claim that:
(i) asks for an injunction or other relief against us that is not money;
(ii) is brought by a Marketplace, a payment provider or a regulator;
(iii) concerns our intellectual property;
(iv) is brought by a rights owner and names us because of your listings, products or Your Content; or
(v) involves a conflict between your interests and ours, for example where you say that the Service caused the loss.
If Section 30.3 later applies to the claim, we will repay the defence costs you paid for that part. You must cooperate with us.
(c) You must not settle a claim in a way that admits fault for us, or puts a duty on us, without our written consent.
(d) If you do not defend a claim promptly, we may defend it at your reasonable cost.
30.3 When this Section does not apply. Section 30.1 does not apply to the extent that a court finally decides that the claim or loss was caused by: our breach of these Terms; our negligence, gross negligence, wilful misconduct or fraud; our breach of data protection law; a fault in the Service that acted outside your settings; or someone exploiting a security weakness in the Service. It also does not cover a claim that the Service itself (apart from Your Content, your settings and your instructions) infringes someone's intellectual property. Section 4.6 explains how this Section applies to consumers.
30.4 What a claim includes. In Section 30, a claim includes any demand, complaint, takedown or infringement notice, subpoena, court order, request for information or investigation by a Marketplace, rights owner, buyer, supplier, payment provider, tax or customs authority, regulator, police or court. The costs you pay include our reasonable legal fees and the reasonable time our staff spend responding to it.
31. Time limit for claims
31.1 Bring claims within one year. If you have a claim against us, or against the people named in Section 29.5, about these Terms or the Service, you must tell us in writing under Section 36.1. You must do this within one year after you knew, or should reasonably have known, the facts behind the claim. You must then start proceedings within six months after that notice. If you do not, the claim is barred.
31.2 If the law that governs the claim does not allow a period this short, the shortest period that law allows applies instead.
31.3 The time limit is paused while we try to resolve the dispute under Section 36.1.
31.4 This Section does not apply to consumers or to claims under Section 29.1.
32. Events outside our control
32.1 We are not liable for any failure or delay caused by events outside our reasonable control. These include changes, outages, blocks or rule changes by Marketplaces, Google, the Chrome Web Store, AI providers, hosting providers or payment providers; internet or power failures; failures of your own computer, browser, other extensions or internet connection; cyberattacks, except where our failure to take reasonable security measures caused or worsened the event; changes in the law; government action; war; terrorism; civil unrest; epidemics; and natural disasters.
33. Changes to these Terms
33.1 We may change these Terms, for example to reflect changes to the Service, our business, the law, Marketplace rules or security needs.
33.2 Notice. If a change has a material adverse effect on you, we will give at least 30 days' notice by email or in the Service before it takes effect. Changes needed for legal, security, fraud-prevention or abuse-prevention reasons, or because a Marketplace or Third-Party Service changed its rules, and changes that only concern new features, may take effect sooner or at once. We show the version number and date at the top of these Terms. You can ask us at hello@dropsync.io for a copy of an earlier version that applied to you.
33.3 If you do not agree. You may cancel your Plan before the change takes effect. You keep access until the end of the period you have paid for. Section 9.5(d) applies.
33.4 Acceptance. If you keep using the Service after a change takes effect, you accept the changed Terms. We may also ask you to confirm that you accept them, for example by ticking a box. A change never applies to a dispute that arose, or that either of us raised under Section 36.1, before the change took effect.
34. Affiliate programme, rewards and community
34.1 Affiliate programme. If you join our affiliate programme, these rules apply, as well as the commission rates and payout details we show you when you join:
(a) no commission or reward is paid on fraudulent sign-ups, on self-referrals, or on payments that are refunded or charged back;
(b) we pay approved commission on the schedule we show you. We may hold a payout while we check it, for example for refunds, chargebacks or fraud;
(c) you must clearly say that you earn commission;
(d) we may change or end the programme with notice;
(e) commission you take as Credits can be reversed under Section 8.5;
(f) our tracking records decide whether a referral counts and which member of the programme gets it, unless you show that they are wrong;
(g) before we pay you, you must give us the payout, identity and tax details we ask for. We hold the commission until you do, and we may withhold any tax the law requires. If you have not given them 12 months after a commission is earned, we may pay it as Credits instead, or deal with it as the law requires;
(h) we may refuse or hold a payout where sanctions or anti-money-laundering law requires;
(i) you are an independent business, not our employee, agent or partner, and you pay your own taxes;
(j) you must not send spam, bid on our name in search ads, use cookie-stuffing, browser extensions or other ways to add your link without the user's action, or make claims about earnings, Marketplace approval or results that we have not approved in writing; and
(k) we may reverse commission earned in breach of these rules.
34.1A Creators and reviewers. If we give you anything of value, such as a free Plan, Credits, money or early access, for making content about DropSync, you must clearly disclose that connection in the content, as advertising law requires, and follow Section 34.1(j).
34.2 Rewards. Rewards, quests, referral bonuses and similar offers follow these Terms and any rules we show with the offer. We may change or end them, and we may cancel rewards obtained by abuse.
34.3 Community. Our Discord server and other community spaces follow these Terms, any rules we post in that space, and the platform's own terms.
(a) Members' posts, messages and files are their own. They are not our views, and they are not advice. We do not check them before they appear, and we are not their author, editor or publisher.
(b) If you think a post is defamatory, harassing, unlawful or breaks someone's rights, report it in the server or at hello@dropsync.io, with the link and your reasons. We will review it and may remove it.
(c) Deals between members, such as coaching, services or goods, are between those members, and we are not responsible for them. Our staff will never ask you for passwords, payment or remote access in a direct message.
(d) Do not post Buyer Data, order screenshots that show buyers' details, or anyone else's personal data.
(e) We may moderate, remove posts and remove members.
(f) You are responsible for what you post, and Section 30.1(f) applies to it. If we gave you anything for a review, we will say so.
35. Notices and communications
35.1 Notices to you. We may send you notices by email to your Account email address, in the Service or on our Website. A notice by email takes effect when we send it. If you are a consumer and you show that you did not receive an email notice, it takes effect when you receive it. Keep your email address up to date.
35.2 Notices to us. Send legal notices by email to hello@dropsync.io. An email to hello@dropsync.io is enough for Sections 31 and 36. A legal notice to us takes effect when we receive it.
35.3 Service messages. We send messages about your Account, billing, security and changes to the Service. You cannot opt out of these while you have an Account. You can opt out of marketing messages at any time.
35.4 Instructions to us. We act on requests about your Account, for example to cancel, refund, change the Account Owner, add a Seat or move Credits, only if they come from your Account email address or from inside your signed-in Account. Requests to cancel, get a refund, change billing, change the Account Owner or add or remove Seats must come from the Account Owner. We may ask you to confirm a request. We may treat any other instruction given through your Account, a Seat, or an Extension signed in to your Account as given by you, except as Section 6.2 says. This does not limit how a consumer may cancel under Section 4 or the law. If a consumer asks us to cancel in another way, for example from another email address, we will cancel once we can match the request to the Account, and we may ask simple questions to do so. Check your Account email address regularly.
35.5 Electronic records. You agree that we may give you these Terms, notices, receipts and other records electronically, by email or in the Service. They meet any legal requirement for a communication to be in writing. Your acceptance of these Terms under Section 2 has the same effect as your signature. A notice to us by email under Section 35.2 counts as written notice, including for Section 31. You can ask us for a copy of these Terms at any time. If you are a US consumer, you can withdraw this consent by closing your Account.
36. Disputes
36.1 Talk to us first. Before you start any claim, email us at hello@dropsync.io and describe the problem. We will both try in good faith to resolve it within 30 days.
36.1A What your notice must include. Your notice must give your name, your Account email address, a description of the problem and what you want us to do. If a lawyer or another person sends it for you, they must include your written permission, and we may ask you to confirm it. A notice without this information does not start the period in Section 36.1. If a notice is missing something, we will tell the sender what is missing. Any notice pauses the time limit in Section 31, even if it is not complete. If details are missing, the pause continues until 30 days after they arrive.
36.1B Business Customers: claims in your own name. If you are a Business Customer, then to the extent the law allows, you may bring a claim against us only in your own name. You may not bring it as a claimant or member in any class, collective or representative action. A court may not join your claim with another customer's claim without our consent. This Section does not apply to consumers.
36.2 Consumers. If you are a consumer, you may bring a claim in the courts where you live, and you keep the protection of the mandatory laws of the country where you live. Nothing in these Terms takes away those rights.
36.3 Court orders to protect the Service. We may ask any court that has jurisdiction for an injunction or other order to protect our intellectual property or confidential information, or to stop a breach of Sections 20 to 23.
37. General terms
37.1 Assignment. You may not transfer your rights or duties under these Terms without our written consent. Any transfer you try to make without our written consent has no effect. Selling your eBay store does not transfer your Account unless we agree. We may transfer our rights and duties under these Terms to a company we set up to run DropSync (Section 1.2), or to a buyer or successor of all or part of our business. We will tell you first, and Section 1.2 applies to data from the Extension.
37.2 Our relationship. We are independent contractors. Nothing in these Terms makes us partners, joint venturers, franchisor and franchisee, employer and employee, fiduciaries or agents. This is also true when you use an Automation Feature to act in your own accounts.
37.3 No exclusivity. We provide the Service to many sellers, including sellers who compete with you. Other users may use Research Features and Clone Features on your public listings, as Section 18.3 says. Our staff and contractors may run their own selling businesses on Marketplaces and may use the Service to do so. They will not use your non-public data from the Service to compete with you.
37.4 Entire agreement. These Terms and the documents listed in Section 1.4 are the whole agreement between you and us about the Service. From the date these Terms apply to you (Sections 2.1A and 2.1B), they replace all earlier agreements about it. Terms in any purchase order, invoice, email or other document from you do not apply, even if we accept or pay it, unless both of us sign a written agreement under Section 1.4(a). Nothing in this Section limits liability for fraud or fraudulent misrepresentation.
37.5 Business Customers: what you relied on. This Section applies only if you are a Business Customer. Descriptions of features in our marketing, videos and support messages are general. The features and limits that apply to you are those in these Terms, the Documentation and the Service. You confirm that you did not accept these Terms because of any forecast, earnings figure, case study, testimonial, calculator result or opinion, or because of any statement by other users, members of our affiliate programme or Discord members, which are not statements by us. This Section does not limit liability for fraud or fraudulent misrepresentation.
37.6 Severability. If a court decides that any part of these Terms is invalid or unenforceable, that part is changed as little as needed to make it enforceable, or removed if that is not possible. The rest of these Terms stays in force. If you are a consumer, a term that is unfair under the Consumer Rights Act 2015 does not bind you, and a court will not rewrite it.
37.7 No waiver. If we do not enforce a right, or we delay enforcing it, we have not given up that right.
37.8 Third-party rights. No one other than you and us has any right to enforce these Terms, except that the people named in Section 29.5 may enforce the Sections that Section 29.5 names. You and we may change or end these Terms without their consent.
37.9 Sanctions and export. You must comply with all export control and sanctions laws that apply to your use of the Service.
37.10 Interpretation. Headings and the Key points box are for convenience only. They do not change the meaning of these Terms. The one exception is your confirmation about Marketplace rules in point 4 of the Key points, which is also part of these Terms. If these Terms are translated, the English version prevails.
37.11 Only a signed written agreement changes these Terms. No one can change or waive these Terms in a support chat, Discord post, video, call or email, except as this Section says. No one can give you a right, refund, Credit, compensation or permission there that these Terms do not give. This includes our staff, moderators, members of our affiliate programme and our AI support tools. A change or waiver binds us only if it is in a written agreement signed for DropSync by a person authorised to sign for it. A refund or Credit is given only when our billing system shows it or we confirm it by email from hello@dropsync.io. AI writes or drafts some support replies, and they can be wrong. If a reply conflicts with these Terms or the Documentation, these Terms apply. Tell us and we will correct it. If you are a Business Customer and you lost money because you relied on a support reply about billing that we later corrected, tell us within 30 days and we will put it right. If you are a consumer, Section 4 applies, including Section 4.2.
37.12 No international sale-of-goods convention. The UN Convention on Contracts for the International Sale of Goods does not apply to these Terms.
37.13 No reading against us. If you are a Business Customer, these Terms are not to be read against us because we wrote them.

Schedule 1. Data Processing Terms
This Schedule forms part of these Terms. It applies to every customer whenever we process Buyer Data for you. For Buyer Data, you are the controller and we are your processor (Section 19.2). If anything else in these Terms conflicts with this Schedule about Buyer Data, this Schedule applies.
(a) What we process. We process the kinds of Buyer Data listed in the Privacy Policy, Section 7.2, such as names, delivery addresses, phone numbers, order details and gift messages. It is about your buyers and the people their orders go to.
(b) Why, and for how long. We collect, store, show and send Buyer Data only to run the features you turn on, such as Auto Order, Autopilot and the Orders pages, and to support and fix the Service for you. We do this while you use the Service, and until we delete it or give it back to you under point (i).
(c) Your instructions. We process Buyer Data only on your documented instructions. These Terms, your settings and the features you turn on are your instructions. If the law requires us to process it in another way, we will tell you first, unless the law forbids this. If we think an instruction breaks data protection law, we will tell you.
(d) Confidentiality. Only people who need Buyer Data for the purposes in point (b) may see it, and they must keep it confidential.
(e) Security. We protect Buyer Data as Section 19.5 describes. We work to meet the security standard in Article 32 of the UK GDPR and the EU GDPR.
(f) Our providers. You give us general permission to use the providers listed in the Privacy Policy, Section 12, to process Buyer Data for us. Before we add or replace a provider that processes Buyer Data, we will update the Privacy Policy, Section 12, and tell you by email or in the Service. If you object on reasonable data protection grounds, tell us before the change. If we cannot meet your objection, you may cancel your Plan. We stay responsible to you for how our providers process Buyer Data, as the law requires. Your suppliers are not our providers (Section 19.3A).
(g) Help with your duties. As far as we reasonably can, and using the information we have, we will help you to answer your buyers' requests to use their data protection rights. We will also help you with data protection impact assessments and with any consultation with a regulator. If a buyer asks us to use their rights, we will pass the request to you.
(h) Breaches. If we become aware of a personal data breach that affects your Buyer Data, we will tell you without undue delay after we become aware of it. We will give you the information we have that you need to meet your own duties.
(i) Deleting or returning Buyer Data. When your Account ends, you choose whether we delete your Buyer Data or give you a copy. Tell us at hello@dropsync.io, and we will do it within a reasonable time. We do not yet delete Buyer Data automatically. Until you tell us, we keep it, and this Schedule still applies to it. After we delete it, we keep copies only as Section 27.7(a) and (b) allow.
(j) Audits. Once a year, you may send us written questions about how we meet this Schedule. We will answer them within a reasonable time. We will also answer a regulator's questions about Buyer Data that we process for you.
(k) Transfers. Some of our providers process Buyer Data outside the UK and the EU. The Privacy Policy, Section 13, explains where, and the safeguards we use. If you choose a supplier outside the UK or the EU, you decide to send your buyer's details to it (Section 19.3A).
(l) Your duties. You are responsible for having a lawful basis to give us Buyer Data, for your instructions, and for telling your buyers how their data is used (Section 19.3).
